House of Doge, the Nasdaq-listed company (HODO) that had billed itself as the Dogecoin Foundation's official corporate arm, has lost its exclusive rights to the Dogecoin brand, according to a Form 8-K filed with the SEC on 23 October. The filing fills in the paperwork behind this week's launch of Dogecoin Labs and adds a leadership change and a new acquisition plan. Here is what it says.
The exclusive license is over
The parties mutually ended the exclusive trademark license signed on 7 May 2025, effective 19 October 2026. All exclusivity, sublicensing rights, partner titles and board-representation rights fell away. Shares House of Doge issued under the old deal do not have to be returned.
A narrow license replaces it
A new non-exclusive license, running three years to 19 October 2029 with no automatic renewal, lets House of Doge use the DOGECOIN and DOGE marks only for three existing 21Shares products — the Dogecoin ETF (TDOG), the Dogecoin ETP and the 2x Long Dogecoin ETF (TXXD) — plus any regulated or tokenised investment product the Foundation approves in writing. It grants no official-partner status and bars use of the marks in the company's name, on merchandise or in payment products. For new products the Foundation gets a negotiated share of net revenue. $400,000 owed and a new name by year-end
House of Doge must pay the Foundation $400,000 "when sufficient funds are available", in cash, in shares priced at a five-day average, or both. The filing says the company has not determined when it will have the funds, and that failing to pay could let the Foundation terminate the new license. It must also change its corporate name and stop calling itself an "Official Corporate Arm" before 31 December 2026.
Such App moves to Dogecoin Labs — if lenders agree
A separate agreement transfers the Such App merchant app to Dogecoin Labs in exchange for shares valued at $4 million, based on a $120 million pre-money valuation of Dogecoin Labs. It has not closed: it needs consent from secured lenders, including Garrington Financial, holder of a $5.5 million demand note, and either side can walk away if it is not done within 30 days of 19 October.
New bosses and a $15 million bet
CEO Marco Margiotta and CFO Charles Park resigned on 22 October. Curtis Hopkins, CEO of McQueen Labs, became interim CEO and CFO the same day, as House of Doge signed a binding letter of intent to buy McQueen's MCQ Markets token platform for $15 million in stock and notes ($5 million of it tied to milestones by April 2027), plus its microlending business. The LOI lapses if no definitive deal is signed by 15 December 2026, and the filing notes some directors have financial interests in McQueen. The company also plans a reverse stock split proposal and is evaluating financing and a rebrand.
None of this changes how Dogecoin itself works: DOGE is an open network and its meme-coin economics are untouched. What changes is who can use the brand commercially.
